These Terms of Service ("Terms") govern your use of the website adbloom.pro and set out the general framework for engagements with AdBloom Media Pte. Ltd. ("AdBloom", "we", "us", "our"). Specific client engagements are governed by signed scopes of work or service agreements that prevail over these Terms where they conflict.
1. About AdBloom
AdBloom Media Pte. Ltd. (UEN 202784728M) is a media planning and performance marketing agency registered in Singapore, with its office at 15 Enggor Street, #08-05 Realty Centre, Singapore 079716.
Brand clarifier: "AdBloom" refers to widening reach for a brand through planned media — it is not a florist, gardening business, wellness brand or self-serve advertising platform. The `.pro` domain is used for branding only and does not indicate a professional certification, membership tier or software product. We are a human agency team delivering marketing services under signed scopes — not an ad network, ad exchange, DSP, adtech SaaS subscription or ad-arbitrage operation.
2. Website use
You may browse adbloom.pro for lawful purposes. You agree not to:
- Attempt unauthorised access to our systems or data;
- Transmit malware, spam or harmful code;
- Scrape content in violation of robots.txt or applicable law;
- Misrepresent your affiliation with AdBloom;
- Use the site for unlawful, fraudulent or abusive purposes.
Content on this website — copy, design, logos and layout — is owned by AdBloom or licensed to us. You may not reproduce it without written permission except for personal, non-commercial reference.
3. Enquiries vs engagements
Submitting a contact form, email or phone enquiry does not create a client relationship or obligation on either party. An engagement begins only when both parties sign a scope of work or service agreement and any required initial payment is received. Proposals, indicative pricing and timeline estimates on the website or in discovery conversations are non-binding until incorporated into a signed document.
4. Services description
AdBloom provides professional marketing agency services including media planning and channel strategy, Google Ads and paid search management, paid social advertising (Meta, TikTok, LinkedIn), search engine optimisation, landing page development, conversion rate optimisation and measurement/reporting dashboards. Services are described on our Services page and scoped individually per client.
We do not sell marketing courses, downloadable template packs, software licences or guaranteed-leads packages. We do not operate as a multi-level marketing organisation, get-rich scheme or bought-traffic / click-farm service.
5. Media spend and agency fees
Media spend is billed and paid separately from agency fees. Clients pay advertising platforms (Google, Meta, TikTok, LinkedIn and others) directly using their own payment methods, subject to each platform's terms, policies and account requirements. Our invoices cover strategy, account management, reporting, creative coordination and related agency labour as specified in the signed scope.
Proposals clearly separate estimated or actual media budgets from agency fees. We do not require clients to route platform spend through AdBloom unless explicitly agreed in writing for a documented procurement reason. Clients retain ownership of advertising accounts; we request partner access as needed to perform services.
6. No guaranteed results
Marketing outcomes depend on many factors outside our control, including your budget, product, pricing, market conditions, competition, timing, sales processes and how recommendations are implemented. We do not guarantee search rankings, website traffic, leads, sales, conversion rates, ROI, ROAS, follower growth, viral reach or any specific commercial outcome.
Case studies, metrics and examples on adbloom.pro reflect past or illustrative work and are not promises of similar future results. Performance data shared during engagements is provided in good faith based on available tracking but may be subject to platform reporting limitations and attribution uncertainty.
7. AI-assisted workflows
We use AI tools to assist with tasks such as report drafting, data summarisation and keyword research. Strategy, budget decisions, account changes and client-facing deliverables are reviewed and owned by human team members. We do not fully automate campaign management without oversight. Client data is handled per our Privacy Policy.
8. Ethical practice
We follow platform advertising policies and ethical, white-hat marketing practices. We do not offer black-hat SEO, link farming, fake follower or bot engagement purchases, ad arbitrage, pop-under traffic or misrepresentations to advertising platforms. Clients must not request services that violate platform terms or applicable law.
9. Client responsibilities
Clients agree to:
- Provide timely access to accounts, assets, approvals and information necessary for delivery;
- Ensure submitted materials do not infringe third-party rights or violate law;
- Review and approve campaigns, creative and landing pages within agreed timeframes;
- Maintain valid platform billing and account standing;
- Designate a primary contact with authority to provide instructions and approvals.
Delays in client inputs may shift timelines without liability to AdBloom.
10. Fees, invoicing and payment
Agency fees, payment schedules and currencies are specified in each signed scope. Unless stated otherwise, invoices are in Singapore dollars (SGD) and payable within fourteen days of issue. Late payments may incur suspension of services and interest as permitted by law. Disputed invoices must be raised in writing within seven days of receipt with supporting detail.
11. Intellectual property
Unless otherwise agreed in writing, upon full payment of applicable fees, clients receive usage rights to deliverables created specifically for them under the scope (reports, ad copy, landing page designs, media plans). AdBloom retains ownership of pre-existing methodologies, templates, tools and general know-how.
Third-party assets (stock photography, licensed fonts, platform ad formats) remain subject to their respective licence terms. Clients are responsible for providing owned or properly licensed brand assets used in campaigns.
12. Confidentiality
Each party agrees to keep confidential non-public information received from the other, except where disclosure is required by law or necessary to perform the scope with bound sub-processors. Confidentiality obligations survive termination for a reasonable period as specified in the signed scope or, if silent, three years.
13. Limitation of liability
To the fullest extent permitted by Singapore law, AdBloom's total aggregate liability arising from any engagement or use of this website shall not exceed the agency fees paid by the client to AdBloom in the three months preceding the claim (or S$5,000 if no fees were paid). We are not liable for indirect, consequential, special or punitive damages, including lost profits, lost revenue or loss of goodwill, even if advised of the possibility.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
14. Indemnity
Clients indemnify AdBloom against claims arising from client-provided materials, products, offers, landing page content or instructions that infringe third-party rights or violate law or platform policies, except to the extent caused by AdBloom's gross negligence or wilful misconduct.
15. Termination
Either party may terminate a signed scope according to its termination clause. Where no clause exists, either party may terminate on thirty days' written notice. Either party may terminate immediately for material breach not cured within fourteen days of written notice. Upon termination, clients pay for work performed to date and any non-cancellable third-party costs incurred on their behalf. Access to client accounts is revoked promptly; transition assistance may be scoped separately.
16. Force majeure
Neither party is liable for delay or failure to perform due to events beyond reasonable control, including natural disasters, government actions, platform outages, internet failures or pandemic restrictions, provided the affected party notifies the other promptly and uses reasonable efforts to mitigate impact.
17. Privacy and data protection
Personal data is handled under our Privacy Policy and the PDPA. Client campaign data is processed only for contracted purposes. See [email protected] for data protection enquiries.
18. Governing law and jurisdiction
These Terms and any dispute arising from them or from use of adbloom.pro are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction, subject to any mandatory arbitration or dispute resolution clause in a signed client scope.
19. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date will change accordingly. Material changes will be posted on this page. Continued website use after changes constitutes acceptance where permitted by law. Active client scopes continue under the Terms in effect at signing unless both parties agree otherwise.
20. Severability and entire agreement
If any provision is found unenforceable, the remaining provisions remain in effect. For website visitors, these Terms together with the Privacy Policy and Cookie Policy constitute the entire agreement regarding site use. For clients, signed scopes prevail over these Terms for service-specific matters.
